2026 Racing Prospectus

Overview

Thank you for your interest in Washington Fork’s inaugural racing partnership, centered on two fillies purchased during the 2026 Keeneland September Yearling Sale.

Since 2023, Washington Fork has celebrated numerous successes in the breeding and selling segment of the thoroughbred industry. Today, we are excited to announce Washington Fork’s inaugural racing partnership which brings our partners together for the early training and racing careers of two fillies purchased in the 2026 Keeneland September Yearling Sale.

This venture will be structured in a similar fashion as our breeding partnerships, while giving each partner a new look inside the thoroughbred industry at an affordable level.

We invite each of you to review these materials and contact us with any questions you might have.

Thank you,

Tyler Clarke

Two Phils x Adjucation (2025)

Mystic Guide x Babybel (2025)

Structure

Washington Fork will secure 10% interest in each filly. The two fillies were purchased for $40,000 (Hip 2974, by Mystic Guide) and $50,000 (Hip 3376, by Two Phils), totaling $90,000. As such, Washington Fork’s initial capital contribution would be $9,000 towards the horses themselves.

Management Fee: There are five shares available for purchase. Tyler Clarke, as managing partner, earns one share (pro-rata expenses paid by Tyler). 5 Paid Shares + 1 Earned Share = 6 Shares

  • Initial Capital Contribution:

    • 10% of $90,000 = $9,000 / 5 Shares for Sale = $1,800 / Share

  • Pre-Paid Quarterly Installments:

    • $4,500 Per Horse Per Month x 2 Horses = $9,000 × 10% = $900 / 6 Shares = $150 × 3 Months / Quarter = $450 / Share

    • This prepaid expense installment will go towards routine expenses including but not necessarily limited to:

      • Training & Boarding

      • Routine Veterinary Care (does not include care above and beyond routine medical expenses, i.e. emergency care, surgery, etc.)

      • Farrier

      • Mortality Insurance

      • Transport

      • Race & Sale Entry Fees, Standard Jockey/Agent Fees, etc.

      • Administrative (Tax Preparation billed separately)

The Process

Both fillies will be shipped from Keeneland to local boarding operations for lay up over the next 45 - 90 days. After this break, they will start the early training process in late 2026 or early 2027 in Kentucky or Florida. Should things go to plan, they will be sent to the race trainer(s) in March to May.

While this is fully dependent on the health and progress of each filly, we are hopeful they could debut as early as Keeneland’s Spring Meet. We are in a unique but advantageous position with both of these fillies:

As they were purchased for $50,000 or less, they would be eligible for “Maiden Auction” races at Keeneland, frequently written with $70-85,000 in purse money. This type of race is written for maidens (non-winners) that sold below a specific threshold at public auction. It provides class relief for young horses that were purchased more affordably than those typically entered in Keeneland’s Maiden Special Weight races. We also eliminate the risk of losing a young, developing horse in a Maiden Claimer.

Whether both (or either) fillies are able to debut at Keeneland’s Spring Meet, we will focus on our regional circuit, with tracks including Churchill Downs, Ellis Park, Kentucky Downs, Turfway Park, Horseshoe Indianapolis, etc.

As Managing Partner, Tyler Clarke will make all decisions about Washington Fork’s minority interest in these two fillies. The partnership will be operated in a manner that maximizes enjoyment and experience while balancing fiscal responsibility by selling or divesting the horses when the opportunity is best. This divestment could include retirement, claiming races, public auction, private sale, etc.
