2026 Racing Prospectus
Overview
Thank you for your interest in Washington Fork’s inaugural racing partnership, centered on a Mystic Guide filly purchased during the 2026 Keeneland September Yearling Sale.
Since 2023, Washington Fork has celebrated numerous successes in the breeding and commercial segments of the thoroughbred industry.
Today, we are excited to share this prospectus for our first racing partnership: a fractional ownership venture that will provide a low-exposure and exciting experience in racing. This particular partnership includes early breaking/training in Florida this winter and racing on the Kentucky circuit in 2027.
We invite each of you to review these materials and contact us with any questions you might have.
Thank you,
Tyler Clarke

This filly is by Darley’s MYSTIC GUIDE (Ghostzapper), the G1 winning earner of over $7.5M. He was the #1 ranked horse in the world in 2021 and his first yearlings brought $410,000, $300,000, $210,000, etc. at public auction. His first foals are two year olds of 2026.
The filly is out of a winning Bodemeister mare who has produced one foal to race, already a six figure earner by Hard Spun. She hails from the family of G1-placed Caddo River, G2-placed Pangburn, etc.
Upside & Risks
Why It Can Work:
Kentucky-bred restricted races mean smaller fields and better purses
Consistently strong demand for proven, early two-year old winners with additional upside
Multiple exit opportunities
Modest investment level
Risks:
Injury, slow development or poor racing performance(s)
Expenses could exceed projections/estimates
Residual value is fully based on her performance/race record and the state of the market
Structure
Washington Fork will secure 20% interest in this yearling filly ($10,000 of $50,000).
Washington Fork Capital Contribution:
$10,000 = TBD/Share
Pre-Paid Expense Installments:
$5,000 (est. 6 months): TBD/Share
This prepaid expense installment will go towards routine expenses including but not necessarily limited to:
Training & Boarding, Routine Veterinary Care (does not include care above and beyond routine medical expenses, i.e. emergency care, surgery, etc.), Farrier, Mortality Insurance, Transport, Race & Sale Entry Fees, Standard Jockey/Agent Fees, etc., Administrative (Tax Preparation billed separately)
Washington Fork Management Fee: 10% of Eligible Purse Money
Example: $30,000 Net Purse Earnings x 20% = $6,000 … Management Fee to Tyler Clarke = $600
The Process
This filly shipped from Keeneland to a local boarding operation (Crimson King Farm) for lay up for the next 30-45 days. After this break, she will ship to Ocala for pre-training and two year old preparation.
While this is fully dependent on the health and progress this filly makes, we are targeting a spring debut, specifically a “Kentucky-bred restricted maiden” race.
These “Maiden Auction” races are frequently written with $70-85,000 in purse money and are for maidens (non-winners) that sold below a specific threshold at public auction ($50,000). This type of race provides class relief for young horses that were purchased at a moderate price point and also eliminates the risk of losing a young, developing horse in a Maiden Claimer.
We intend to keep our filly on the Kentucky/Regional circuit, with tracks including Keeneland, Churchill Downs, Ellis Park, Kentucky Downs, Turfway Park, Horseshoe Indianapolis, etc.
Our exit will be done thoughtfully and could include private sale, monthly digital sales, public auction, claiming races or retirement.
As Managing Partner, Tyler Clarke will make all decisions about Washington Fork’s minority interest in this filly. The partnership will be operated in a manner that maximizes enjoyment and experience while balancing fiscal responsibility by selling or divesting the horse when the opportunity is best.
Disclaimer: Thoroughbred investments are inherently high risk in nature. While our purchase, sale and management decisions will be made with financial consequences in mind, Washington Fork/Managing Partner(s) is in no way for financial losses. Earning and expense projections are illustrative estimates, not projections or guarantees. Past results are not indicative of future returns. Racehorse ownership can result in losses beyond initial capital contributions.
